ArtifactRx Terms of Service

1. Acceptance of Terms
By accessing or using the ArtifactRx platform, including its websites, applications, APIs, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Services.
2. Description of Services
ArtifactRx provides a U.S.-based healthcare SaaS platform designed to support clinical documentation, evidence capture, and compliance workflows. The Services include, without limitation:
- Forensic Ingestion and Chain-of-Custody Capture: Secure capture of clinical evidence, including video, audio, images, and text, with cryptographic hashing and timestamping to support evidentiary integrity.
- ROV Logic Engine: A rules-based engine that assists with protocol-driven documentation, medical necessity validation, and payer-specific criteria mapping. The ROV Logic engine is a documentation aid and does not replace clinical judgment or provider responsibility.
- Immutable Records: Storage and retrieval of captured evidence with audit trails intended to support chain-of-custody and regulatory documentation requirements.
- Automated Compliance Reporting: Generation of reports, summaries, and artifacts intended to support revenue cycle management, prior authorization, and audit responses.
The Services are provided on an "as is" and "as available" basis, subject to these Terms and any applicable service agreements.
3. Eligibility and Authorized Use
The Services are intended for use only by:
- Licensed healthcare providers and clinical professionals authorized to practice in their jurisdiction;
- Healthcare entities (e.g., hospitals, clinics, ambulatory surgery centers, physician practices) that are duly organized and authorized to conduct healthcare operations;
- Revenue cycle management professionals and compliance personnel acting on behalf of such entities;
- Other users expressly authorized by ArtifactRx under a separate written agreement.
You represent and warrant that you meet the foregoing eligibility requirements and that all information you provide in connection with registration and use of the Services is accurate, complete, and not misleading.
4. Account Registration and Security Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to: provide accurate and current registration information; notify ArtifactRx promptly of any unauthorized access or suspected breach; implement appropriate access controls and security measures within your organization; ensure that all users within your organization who access the Services are authorized and trained on applicable policies. ArtifactRx reserves the right to suspend or terminate accounts that fail to comply with these security obligations.
5. Clinical Responsibility Disclaimer
ArtifactRx does not provide medical advice.
The Services are documentation and workflow tools designed to assist healthcare providers and their staff. All clinical decisions, diagnoses, treatment plans, and documentation of medical necessity remain solely the responsibility of the licensed provider. ArtifactRx is not a healthcare provider, does not practice medicine, and does not assume any clinical or legal liability for the content or accuracy of documentation created, stored, or transmitted through the Services.
6. Regulatory Alignment Statement
The Services are designed to support compliance with applicable healthcare regulations, including HIPAA. ArtifactRx offers Business Associate Agreement terms to covered entities and business associates as required. ArtifactRx does not provide legal advice. You are solely responsible for ensuring that your use of the Services complies with all applicable federal, state, and local laws, regulations, and payer policies.
7. Data Ownership and Evidence Custody
You retain ownership of all data, content, and evidence that you upload, create, or submit through the Services ("Customer Data"). ArtifactRx does not claim ownership of Customer Data. By using the Services, you grant ArtifactRx a limited, non-exclusive license to use, process, store, and transmit Customer Data solely as necessary to provide and improve the Services.
8. Intellectual Property
ArtifactRx and its licensors own all right, title, and interest in and to the Services, including the ROV Logic engine, platform architecture, workflows, and related intellectual property. The ROV Logic mark and related branding are trademarks of ArtifactRx. You receive no license to any ArtifactRx IP except for the limited right to access and use the Services in accordance with these Terms.
9. Confidentiality
You agree to keep confidential any non-public information disclosed by ArtifactRx. ArtifactRx agrees to keep confidential Customer Data in accordance with these Terms and any applicable BAA. Confidentiality obligations survive termination for five (5) years.
10. Prohibited Uses
You may not use the Services to: violate any applicable law or professional standard; submit false or fraudulent information; infringe intellectual property or privacy rights; transmit malware or compromise security; resell or sublicense the Services; or use for any purpose other than lawful healthcare documentation and compliance support. ArtifactRx may suspend or terminate access for any prohibited use.
11. Service Availability and Modifications
ArtifactRx does not guarantee uninterrupted access to the Services. ArtifactRx reserves the right to modify, discontinue, or restrict features with reasonable notice. Continued use after changes constitutes acceptance.
12. Fees and Payment
Fees are set forth in your order form or subscription agreement. Failure to pay may result in suspension or termination. All fees are non-refundable except as expressly stated.
13. Disclaimers and Limitation of Liability
Disclaimer: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
Limitation: TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARTIFACTRX SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. AGGREGATE LIABILITY SHALL NOT EXCEED AMOUNTS PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
14. Indemnification
You agree to indemnify and hold harmless ArtifactRx from and against any claims, damages, losses, or expenses arising out of your use of the Services, violation of these Terms, or clinical or professional decisions for which you are responsible.
15. Termination and Suspension
ArtifactRx may suspend or terminate your access at any time. Provisions that by their nature should survive termination shall survive.
16. Governing Law
These Terms shall be governed by the laws of the State of Delaware. Any dispute shall be resolved exclusively in the state or federal courts located in Delaware.
